Zorbit Resources and Maesa announced today that they have signed a definitive merger agreement to combine and create a worldwide company specializing in branding, design, tailor-made packaging, and turnkey beauty and home products. Together, Zorbit and Maesa aim to create a stronger platform for future innovation within the beauty industry. The two say the combination will provide significant benefits to all constituencies, including: greater offerings (Maesa brings to Zorbit core competencies in private label, mass market retail development and home fragrance; Zorbit brings to Maesa core competencies in branding/design, package engineering, as well as factory-direct manufacturing in printing/box making, plastic molding, and metal forming); global supply capabilities for clients who distribute in North America, EU and the Far East; improved cost effective solutions for clients (the combined strength and size will allow purchasing leverage and improved costing structures from their respective material suppliers; the combined company will also benefit from improved operational efficiency in areas such as procurement, marketing, information technology and supply chain management); enhanced financial performance (this transaction will enhance the long-term financial success of the combined company to better manage its expenses, through aligned sales and marketing, combined R&D, and other benefits from economies of scale).

The new organization, with a highly experienced management team, boasts annual revenues of $95 million, seven offices worldwide, more than 150 customers and 250 staff members.

Gregory Mager, founder and CEO of Maesa, will remain CEO of the parent company, Maesa Inc. Thomas Butkiewicz, president of Zorbit, will be responsible for running the Zorbit U.S. turnkey beauty and packaging divisions, while overseeing the packaging group in Europe and the organization in China. Butkiewicz is based in New York City.

Maesa Inc will act as the holding company for the Zorbit and Maesa businesses, which will continue to operate separately under their respective brand names.
